These Terms of Service (“Terms”) govern your access to and use of the website and sign-up operated by InoQlate Inc. (“InoQlate”, “we”, “us”, or “our”), a Canadian not-for-profit corporation (collectively, the “Services”). By accessing the Services or submitting your information, you agree to these Terms. If you do not agree, do not use the Services.
01Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. By using them, you represent that you meet these requirements and that the contact details you provide are accurate and your own.
You access and use the Services in a business or professional capacity, for purposes related to your trade, business, or organization, and not as a consumer. Where you provide another person’s business contact details, you confirm you are authorised to do so.
02About the Services
InoQlate is a non-profit initiative. This site provides information about InoQlate and its fraud-prevention technology and lets you sign up to receive updates. Information presented is for general informational purposes, relates to a product that is in development, and may change without notice. Nothing here is an offer, warranty, or commitment regarding any product, feature, availability, pricing, or launch date. The product itself is offered separately by our licensed providers under their own terms.
03Communications
How we collect and use your contact details, the consent we rely on, the email and WhatsApp channels, how we share details with our licensed providers, and how you unsubscribe or withdraw consent are all described in our Privacy Policy. The following SMS program terms also apply when you opt in to text messages:
Text messages (SMS)
- By opting in, you consent to receive recurring automated text messages with launch news and updates from us at the number you provided.
- Message frequency varies. Message and data rates may apply.
- Reply STOP to cancel at any time and HELP for help.
- Carriers are not liable for delayed or undelivered messages.
04Acceptable Use
You agree not to misuse the Services, including by: providing false information or another person’s contact details without authorization; attempting to gain unauthorized access to the site or its systems; interfering with or disrupting the Services; or using them for any unlawful purpose.
05Intellectual Property
The Services, and all content, branding, logos, and materials on them, together with the underlying fraud-prevention technology, are owned by InoQlate or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended business purpose. You may not copy, modify, distribute, or create derivative works without our prior written permission.
06Third-Party Services
The Services may link to or rely on third-party services such as WhatsApp/Meta, our email and SMS providers, and website hosting. We are not responsible for the content, policies, or practices of third parties, and your use of them is at your own risk and subject to their terms.
07Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY INFORMATION IS COMPLETE OR ACCURATE.
Statements about the product’s capabilities or performance are design goals and forward-looking; the product is in development and its features, availability, and timing may change.
08Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL INOQLATE INC. OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including any statutory rights you may have that cannot be waived.
09Indemnification
You agree to indemnify and hold harmless InoQlate Inc. and its affiliates, officers, and employees from any claims, damages, or expenses arising out of your misuse of the Services or violation of these Terms.
10Governing Law & Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts of Ontario have jurisdiction, except where the mandatory laws of your country of residence give you other rights. If you go on to obtain the product, your relationship with the licensed provider is governed by that provider’s own terms and the law it specifies.
11General
Severability. If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and InoQlate regarding the Services and supersede any prior understandings on that subject.
No waiver. Our failure to enforce any right or provision will not be a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, reorganisation, or sale of assets.
Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control.
12Changes to These Terms
We may update these Terms from time to time. We will post the revised version with a new “Last updated” date. Continued use of the Services after changes take effect means you accept the updated Terms.
